Terms of Service

These Terms govern access to and use of AdexPilot, including our website, app, APIs, ecommerce and advertising integrations, AI recommendations, product intelligence, feed tools, billing, approvals, and automation workflows.

AdexPilot provides decision-support software for ecommerce and advertising operations. Recommendations, forecasts, AI responses, diagnostics, approvals, and automation workflows do not guarantee revenue, profit, ROAS, POAS, rankings, feed approval, conversions, or any business outcome.

1. Agreement to these Terms

AdexPilot is operated by AdexTechStack. References to “AdexPilot,” “we,” “us,” or “our” in these Terms mean AdexTechStack as the supplier of the AdexPilot service.

By accessing or using AdexPilot, you agree to these Terms and our Privacy Policy. If you use AdexPilot for a company, agency, merchant, client, or other organization, you represent that you have authority to bind that organization and that organization is responsible for your use.

If you have a separate signed agreement, order form, data processing agreement, or provider-specific addendum with AdexPilot, that document controls if it conflicts with these Terms, except that no separate document replaces Shopify Billing as the payment authority for charges associated with the public Shopify app. Those app charges must still be created, approved, billed, adjusted, and refunded through Shopify where Shopify makes the relevant action available.

2. Eligibility and accounts

  • You must be at least 18 years old and able to enter a binding agreement.
  • You must provide accurate account, billing, workspace, store, and provider information and keep it current.
  • You are responsible for safeguarding credentials, sessions, provider accounts, OAuth permissions, API access, and devices used to access AdexPilot.
  • You must promptly notify us at support@adexpilot.com if you suspect unauthorized access, credential compromise, provider account misuse, or a security incident.

3. Workspaces, roles, and customers

AdexPilot workspaces may include owners, admins, operators, approvers, viewers, invited users, clients, and stores. Workspace owners and admins control the workspace and are responsible for team access, roles, permissions, billing, provider connections, product data, approval settings, and actions taken by workspace users.

Agencies and consultants are responsible for ensuring they have authority from their clients to connect provider accounts, process business data, review recommendations, approve changes, and use AdexPilot on the client account.

4. The AdexPilot service

AdexPilot connects ecommerce, feed, catalog, advertising, billing, and business context to help teams understand product performance and review safer next actions.

  • Store and Product Intelligence describe what the business sells, who products fit, and how products perform.
  • Feed tools help prepare and verify Google Shopping feeds, supplemental labels, product-feed artifacts, Merchant Center readiness, and Meta catalog readiness.
  • Google Ads, Merchant Center, Shopify, and Meta integrations support product performance, diagnostics, recommendations, and readiness checks.
  • AI chat, digests, daily briefings, memories, recommendations, action drafts, and campaign drafts provide decision support.
  • Approval packs, execution plans, audit events, and mutation logs help preserve review and evidence before spend-affecting changes.

5. Integrations and provider accounts

AdexPilot depends on third-party providers, some of which you authorize, including Shopify, Google, Merchant Center, Meta, email providers, AI providers, hosting providers, and infrastructure services. Shopify also provides the installation and app-billing systems used for Shopify merchants. Provider APIs, scopes, data, availability, rate limits, policies, review requirements, and permissions may change at any time.

  • You are responsible for having the right to connect each account and process its data in AdexPilot.
  • You must comply with provider terms, advertising policies, commerce policies, data protection rules, customer notices, consent requirements, and platform review requirements.
  • AdexPilot may store encrypted provider tokens, account IDs, account emails, scopes, sync status, diagnostics, and metadata needed to operate integrations.
  • Disconnecting a provider may stop future syncs but may not automatically delete historical data, audit records, billing records, or derived analytics.
  • AdexPilot is not responsible for provider outages, API errors, scope denials, account suspensions, policy decisions, review delays, or data inaccuracies from providers.

6. Customer, shopper, and compliance data

If your connected store or provider data includes shopper, customer, order, consent, or event information, you are responsible for having all required notices, lawful bases, permissions, consents, contracts, and opt-out mechanisms for that data.

  • You are responsible for your store privacy policy, cookie consent, email or SMS consent, event tracking notices, sale/share opt-out handling, and customer request process.
  • You must not use AdexPilot to process sensitive personal information, protected health information, payment card numbers, government identifiers, or other regulated data unless we have agreed in writing.
  • AdexPilot may process Shopify compliance webhooks, redaction requests, consent snapshots, hashed event links, and retention-delete timestamps as part of the service.
  • You remain responsible for responding to your customers, regulators, providers, and advertising platforms unless AdexPilot has separately agreed to perform a specific role.

7. AI outputs, recommendations, and decisions

AdexPilot may use AI and automated analysis to generate summaries, rankings, recommendations, alerts, drafts, answers, feed-label proposals, campaign ideas, execution plans, and other outputs. These outputs are decision support only.

  • You must review AI outputs before relying on them or using them in business, advertising, feed, catalog, or provider decisions.
  • AI outputs may be incomplete, inaccurate, stale, biased, inconsistent, or based on limited or incorrect data.
  • AdexPilot does not provide legal, tax, financial, investment, accounting, advertising-policy, medical, or professional advice.
  • AdexPilot does not guarantee profit, ROAS, POAS, revenue, conversion volume, ranking, Merchant Center approval, Meta approval, Google Ads eligibility, or inventory outcomes.
  • You are responsible for final decisions, approvals, budgets, ads, product claims, feed content, provider settings, and customer-facing statements.

8. Approvals, automation, and execution

AdexPilot is designed around evidence, review, approvals, and controlled execution. Some features may create drafts, preview actions, plan execution steps, queue jobs, or execute provider changes after approval or according to configured automation settings.

  • Do not approve or enable automation unless you understand the action, scope, provider account, data state, budget impact, rollback limits, and business risk.
  • Execution can fail or produce different results because of provider permissions, stale data, rate limits, API changes, campaign state, policy restrictions, account configuration, or network errors.
  • Rollback, reconciliation, undo, validation-only, sandbox, or dry-run features may be limited and are not guaranteed to restore every provider state.
  • Even where an action is labeled safe, approval-safe, sandbox, validation-only, or non-executing, you must verify the workflow before relying on it.
  • You are responsible for monitoring connected accounts after any approved action or automation.

9. Billing, subscriptions, credits, and trials

Pricing, plans, credit packs, trials, checkout flows, invoices, usage limits, renewal terms, and plan entitlements are displayed in the AdexPilot checkout and the relevant Shopify approval or billing surfaces. For Shopify merchants, Starter, Growth, and Pro are offered as per-installed-store plans. A written order form can describe service scope or other commercial terms, but it is not a checkout or payment method for the public Shopify app and does not replace Shopify-hosted charge approval.

Shopify app charges use the Shopify Billing API manual-pricing flow. AdexPilot creates the selected recurring subscription or one-time credit-pack purchase, and Shopify provides a hosted page where the merchant approves or declines that charge. Opening the AdexPilot checkout, returning from Shopify, or seeing a browser success message does not by itself activate a plan or grant credits. AdexPilot verifies the current charge status with Shopify before granting paid access or purchased credits.

Approved app charges are billed through Shopify and appear through the merchant's Shopify billing account. Shopify's applicable terms also apply to Shopify billing and payment processing. Product, billing, cancellation, and refund support is available from AdexPilot at support@adexpilot.com. Shopify controls how supported currency, applicable taxes, invoices, payment methods, and collection are presented or processed through the merchant's Shopify billing account.

  • By approving a Shopify-hosted charge, you authorize the displayed app-charge amount, currency, billing interval, renewal terms, and any taxes or fees that Shopify applies.
  • Recurring plans renew automatically through Shopify until canceled. A plan change can require a new Shopify approval and can be prorated, credited, deferred, or take effect immediately according to the option shown and Shopify's billing rules.
  • Uninstalling AdexPilot from Shopify automatically cancels future recurring app charges, but it does not automatically refund or credit the current billing period. A merchant may still see a charge already generated for that period.
  • Growth Burst and Scale Sprint are one-time Shopify app purchases. Each purchase requires separate Shopify approval and grants the corresponding internal credit lot only after AdexPilot verifies the purchase as active.
  • Credits can come from free grants, included plan allowances, or purchased credit lots. They are service-capacity units, not cash, stored value, or transferable currency, and their quantity, renewal, rollover, and expiration follow the exact grant, lot, plan, and billing-cycle terms shown in AdexPilot.
  • Before premium work starts, AdexPilot may reserve estimated credits. Completed or otherwise chargeable work settles against that reservation. If a task fails or is canceled without producing a chargeable outcome, the unused reservation is released; final settlement can be adjusted to the actual outcome.
  • Included credits are plan benefits and are not independently refundable or cash-redeemable. No rollover should be assumed unless the applicable checkout catalog expressly provides it.
  • Internal credit consumption is capacity metering, not a separate Shopify usage charge. AdexPilot will not impose usage-based app billing unless it is clearly disclosed and created through Shopify Billing, with Shopify approval where required.
  • Refunds and billing adjustments are governed by our Cancellation and Refund Policy, Shopify's available app-charge tools, and applicable law. Submitting a request does not guarantee approval.
  • If Shopify reports a frozen, canceled, inactive, unverifiable, or sufficiently stale billing state, or if a workspace exceeds plan limits, AdexPilot may limit or block new paid-only work while keeping billing, export, deletion, and support paths available.

10. Your data and content

As between you and AdexPilot, you retain ownership of your business data, store data, shopper data, provider data, prompts, attachments, files, product information, ads, feeds, and other content you provide or authorize us to process.

You grant AdexPilot a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, process, analyze, transform, create derived analytics from, and otherwise use your data and content as needed to provide, secure, support, improve, and bill for the service and to comply with law.

You represent that you have all rights, notices, consents, and permissions needed for AdexPilot to process your data and content as described in these Terms and the Privacy Policy.

11. Confidentiality and security

Each party may receive confidential business, technical, financial, product, provider, or security information from the other. The receiving party will use reasonable care to protect confidential information and will use it only for the purposes of the service or the applicable agreement.

AdexPilot uses safeguards designed to protect accounts, sessions, provider tokens, workspaces, and data. You are responsible for managing user access, provider scopes, credentials, devices, approved actions, and your own security controls.

12. Acceptable use

You agree not to misuse AdexPilot or help anyone else misuse it.

  • Do not violate laws, privacy rights, consumer-protection rules, advertising policies, provider terms, intellectual property rights, or third-party rights.
  • Do not connect accounts you do not control or process data you are not authorized to process.
  • Do not bypass authentication, authorization, billing, rate limits, entitlement checks, approval gates, safety controls, provider restrictions, or security measures.
  • Do not reverse engineer, scrape, crawl, overload, scan, probe, attack, disrupt, or interfere with AdexPilot or provider systems.
  • Do not upload malware, secrets you do not own, unlawful content, regulated sensitive data, or content that infringes rights or creates legal risk.
  • Do not use AdexPilot to create deceptive ads, illegal product claims, spam, fraud, discrimination, unsafe recommendations, or policy-violating campaigns.
  • Do not resell, sublicense, or make AdexPilot available as a competing service unless we agree in writing.

13. Third-party services and links

AdexPilot may contain links to, or rely on, third-party services. Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services, websites, data practices, errors, content, decisions, or availability.

14. Intellectual property and feedback

AdexPilot and its software, website, workflows, UI, designs, source code, prompts, models, documentation, logos, names, generated system templates, infrastructure, and related technology are owned by AdexPilot or its licensors. These Terms do not transfer ownership of AdexPilot intellectual property to you.

If you provide feedback, suggestions, or ideas, you grant AdexPilot the right to use them without restriction or obligation to you.

15. Beta, previews, and experimental features

Some features may be beta, preview, experimental, sandbox, dry run, validation-only, or early access. They may change, break, disappear, have limited support, produce unreliable outputs, or be subject to additional limits. Use them at your discretion.

16. Service changes and availability

We may add, remove, suspend, modify, limit, or discontinue features, integrations, limits, plans, pricing, providers, or workflows. We try to operate AdexPilot reliably, but the service may be unavailable, delayed, or degraded because of maintenance, incidents, provider issues, infrastructure issues, legal requirements, or circumstances outside our control.

17. Suspension and termination

We may suspend or terminate access if we believe you violated these Terms, failed to pay, created security or legal risk, misused the service, exceeded limits, violated provider rules, or used AdexPilot in a way that could harm us, providers, customers, users, or the public.

You may stop using AdexPilot or cancel through the billing flow. After termination, we may retain or delete data according to the Privacy Policy, law, provider obligations, backup practices, billing requirements, audit needs, and legitimate business purposes.

18. Disclaimers

To the maximum extent permitted by law, AdexPilot is provided on an "as is" and "as available" basis. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, security without incident, data accuracy, provider availability, feed approval, campaign performance, business outcomes, and results from recommendations or automation.

19. Limitation of liability

To the maximum extent permitted by law, AdexPilot will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages; lost profits; lost revenue; lost savings; lost data; lost goodwill; wasted ad spend; provider account suspension; feed disapproval; business interruption; or costs of substitute services.

To the maximum extent permitted by law, AdexPilot total liability for all claims relating to the service will not exceed the greater of 100 USD or the amounts paid by you to AdexPilot for the service in the three months before the event giving rise to the claim. Some jurisdictions do not allow certain limits, so some limits may not apply to you.

20. Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless AdexPilot, its affiliates, officers, employees, contractors, service providers, and licensors from claims, damages, losses, liabilities, penalties, costs, and expenses arising from your data, products, ads, feeds, provider accounts, customer notices, consent practices, use of the service, approved actions, automations, violation of these Terms, violation of law, or violation of third-party rights.

21. Disputes and governing terms

If a separate written agreement identifies governing law, venue, arbitration, or dispute terms, those terms apply. Otherwise, disputes will be handled under the laws and courts applicable to the AdexPilot operating entity, without regard to conflict-of-law rules. Before filing a claim, each party agrees to try in good faith to resolve the dispute by contacting the other party.

22. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and may provide additional notice through the website, app, or email. Continued use of AdexPilot after changes become effective means you accept the updated Terms as permitted by law.
